1. Agreement

These Terms of Service ("Terms") govern your access to and use of Mabii, operated by Playtrix ME SARL ("Company," "we," "us," or "our") — an AI-powered customer acquisition platform that discovers leads, sends personalized outreach, handles replies across channels, books appointments, and learns from conversations. By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized use. We are not liable for any loss or damage arising from your failure to protect your credentials or from unauthorized use of your account.

3. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law, including anti-spam laws (e.g. CAN-SPAM, GDPR, CASL) and data protection regulations.
  • Send spam, unsolicited bulk messages, or content that is deceptive, harassing, or harmful.
  • Impersonate others or misrepresent your affiliation.
  • Attempt to gain unauthorized access to the Service, other accounts, or our or third-party systems.
  • Interfere with or disrupt the Service or its infrastructure.
  • Scrape, reverse-engineer, or build a competing product using the Service beyond permitted API use.

You are responsible for ensuring that your use of the Service (including outreach sent on your behalf) complies with all applicable laws and that you have appropriate consent or lawful basis to contact recipients. We may suspend or terminate your account for violations of this section.

4. AI-Generated Content

The Service uses AI to generate and send messages, emails, and other content on your behalf. You remain solely responsible for all content sent from your account. We do not guarantee the accuracy, appropriateness, or legality of AI-generated content. You are responsible for reviewing and approving workflows and content where the Service allows, and for complying with laws governing automated or AI-generated communications.

5. No Guarantee of Results

The Service is provided to help you acquire customers and manage conversations. We do not guarantee any specific number of leads, appointments, replies, or revenue. Outcomes depend on your configuration, market, and many factors outside our control. Any examples or case studies we provide are illustrative only.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT). WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, THE ABOVE LIMITATIONS MAY NOT FULLY APPLY TO YOU.

7. Indemnification

You agree to indemnify, defend, and hold harmless Mabii, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) content or messages sent from your account (including AI-generated content); (c) your violation of these Terms or any law; or (d) any dispute between you and a third party (including a recipient of your outreach). We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you; you will cooperate with us in asserting defenses.

8. Data Ownership and License

You retain ownership of your business data (e.g. leads, conversations, playbook content) that you provide or that the Service generates for your account. You grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and transmit that data as necessary to provide, operate, and improve the Service and to comply with law. We do not use your data to train general-purpose AI models for use outside Mabii.

9. Intellectual Property

We own all right, title, and interest in and to the Service, including the platform, software, AI models (as deployed in the Service), playbook system, design, and our trademarks and branding. These Terms do not grant you any right to our intellectual property except the limited right to use the Service in accordance with these Terms.

10. Billing and Refunds

Subscription terms, pricing, and billing cycles are as described at signup or on our pricing page. You authorize us (or our payment provider) to charge your payment method on a recurring basis until you cancel. Trial periods, if offered, are subject to the terms stated at signup.

Refund policy. You may request a full refund within 30 days of your initial purchase or subscription start. Refunds are not provided for partial subscription periods or after 30 days from the initial purchase.

11. Termination

You may cancel your account at any time through the Service or by contacting us. We may suspend or terminate your account or access to the Service at any time for breach of these Terms, non-payment, or for any other reason with or without notice. Upon termination, your right to use the Service ceases. We may retain and use your data as permitted by our Privacy Policy and for legal, safety, or operational reasons. After termination, we will delete or anonymize your data within a reasonable period (e.g. 30 days) except where retention is required by law.

12. Third-Party Services

The Service integrates with third-party services (e.g. email providers, messaging platforms, payment processors). Your use of those services is subject to their terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services. We do not guarantee uptime or performance of any third-party integration.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association, and judgment on the award may be entered in any court having jurisdiction. You waive any right to a jury trial or to participate in a class action. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction. Any claim must be brought within one (1) year after the cause of action arose.

14. Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, labor disputes, internet or infrastructure failures, or the unavailability of third-party services.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.

16. Entire Agreement and Modifications

These Terms, together with our Privacy Policy and any order or pricing terms referenced herein, constitute the entire agreement between you and Mabii regarding the Service and supersede all prior agreements and understandings. We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated by email or a notice in the product. If you do not agree to the modified Terms, you must stop using the Service. Your continued use after the effective date of changes constitutes acceptance. We will use reasonable efforts to provide at least thirty (30) days' notice for material changes when practicable.
